Acceptance of Terms

By accessing and using the Wawilee platform (the "Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service. These Terms of Service are subject to change without notice at Wawilee's sole discretion. Your continued use of the Service following the posting of revised Terms means that you accept and agree to the changes.

Platform Description

Wawilee is a marketplace platform that connects vetted management consultants with businesses seeking specialized expertise. The Service facilitates introductions, communications, contracting, and payments between consultants and clients.

Wawilee is not an employer of consultants and does not provide employment, benefits, or worker protections. Consultants operate as independent contractors. Clients engage consultants directly for specific projects or time periods.

User Accounts and Eligibility

Eligibility

To use Wawilee, you must be at least 18 years old and have the legal capacity to enter into binding contracts. You agree to provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your password and account information.

Account Verification

Consultants agree to complete our vetting process, including background checks, skills verification, and professional credential validation. Clients may need to provide company information and payment details for verification purposes.

Account Suspension

Wawilee reserves the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or receive consistent negative ratings and reviews.

Consultant Obligations

Subscription Fee

Consultants agree to pay $25 per month for access to the platform, project opportunities, community features, and training resources. The subscription renews automatically unless cancelled. Refunds are not provided for partial months.

Commission Structure

Consultants authorize Wawilee to retain 10% of invoiced earnings as a platform commission. Additionally, if a project was sourced through a recruitment partner, 10% may be paid to that partner. The consultant receives the remaining 80% of the invoiced rate.

Professional Conduct

Consultants agree to perform work professionally, meet agreed deadlines, respond to client communications promptly, and maintain confidentiality regarding client information. Work quality and professionalism directly impact consultant ratings and future opportunities.

Independent Contractor Status

Consultants are independent contractors, not employees. Consultants are responsible for their own taxes, insurance, and benefits. Wawilee does not provide workers' compensation or employment protections.

Client Obligations

No Platform Fees

Clients pay no platform commission or service fee to Wawilee. Clients only pay the consultant's agreed-upon day rate or project fee through the platform.

Professional Engagement

Clients agree to clearly define project scope, provide necessary resources and information, respond to consultant questions promptly, and treat consultants with respect and professionalism.

Fair Ratings

After engagement completion, clients agree to provide honest ratings and feedback based on actual consultant performance. Fraudulent or retaliatory reviews will result in account suspension.

Payment Terms

Payment Schedule

For projects longer than one month, clients pay 20% of the estimated project cost upfront. The remainder is billed monthly based on hours worked or milestones completed. Short-term engagements (less than one month) may require full payment in advance.

Invoice and Payment Processing

Consultants submit invoices through the platform. Clients receive invoices and approve deliverables before payment is processed. Payments are made through Stripe or Airwallex within 5 business days of invoice approval. Late payments may incur 1.5% monthly interest.

Commission Deduction

Wawilee retains its commission and any recruitment partner fee before transferring funds to the consultant. The client sees the full consultant rate; Wawilee deducts commission from consultant payouts, not client invoices.

Refunds and Disputes

Refunds are handled on a case-by-case basis and require written justification. Disputes over work quality, deliverables, or payment must be raised within 30 days. Wawilee may hold payments pending dispute resolution.

Intellectual Property

You retain ownership of all intellectual property you create and upload to the Service. By submitting content to Wawilee (profiles, case studies, reviews, messages), you grant Wawilee a worldwide, non-exclusive, royalty-free license to use that content for platform operations, marketing, and analytics.

Work product created specifically for a client engagement belongs to the client unless otherwise agreed in the consultant-client contract. Wawilee may not use client-specific work product without written permission.

The Wawilee platform, logo, design, and underlying technology are protected intellectual property owned by Wawilee. You may not reproduce, modify, or distribute our platform without permission.

Termination

Either party may terminate this agreement at any time by notifying the other party in writing. Consultants can cancel their subscription at any time; cancellation takes effect at the end of the current billing cycle. No refunds are provided for unused portions of the subscription month.

Wawilee may terminate or suspend accounts immediately without notice if the user violates these Terms, engages in fraudulent activity, or poses a safety risk. Termination does not affect fees already earned or payment obligations.

Upon account termination, all access to the platform is revoked. Data is retained according to our Privacy Policy, but the user's profile becomes inaccessible to other users.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WAWILEE AND ITS OFFICERS, DIRECTORS, AND EMPLOYEES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES RESULTING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

WAWILEE'S TOTAL LIABILITY SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE 12 MONTHS PRIOR TO THE CLAIM OR $100, WHICHEVER IS GREATER.

Wawilee does not guarantee that consultants will complete work, that clients will pay as agreed, or that work quality will meet expectations. These are direct risks inherent in any consulting engagement. Users are responsible for conducting due diligence.

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law principles. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in London, UK.

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid, or if not possible, severed, and the remaining provisions shall remain in full force and effect.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Wawilee regarding your use of the Service and supersede all prior understandings and agreements.
